Terms of Service

1. Agreement to terms

By accessing or using the Novacraft website (novacraft.africa) or engaging Novacraft for services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our site or services.

These terms apply to all visitors, clients, and Academy students. Specific project and Academy engagements are also governed by separate project agreements or enrolment letters signed by both parties.

2. Services

Novacraft provides software engineering, product design, cybersecurity, networking infrastructure, SEO, and AI automation services to businesses and individuals. We also operate the Novacraft Academy, a training programme teaching digital skills.

Service scopes, timelines, and fees are defined in individual project agreements or Academy enrolment confirmations. Nothing on this website constitutes a binding offer or guarantee of availability.

3. Academy enrolment

Enrolment in the Novacraft Academy is subject to:

• Completion of the registration form and receipt of our confirmation email.
• Payment of the stated enrolment fee before the cohort start date.
• Compliance with the student code of conduct communicated at onboarding.

Slots are limited. Registration does not guarantee a place until payment is confirmed. We reserve the right to cancel a cohort with at least 7 days' notice, in which case a full refund will be issued.

Refunds: Full refunds are available up to 5 days before the cohort start. No refunds are issued after the cohort begins, except where Novacraft cancels the programme.

4. Intellectual property

Our content: All content on this website — text, graphics, design, code, and branding — is the intellectual property of Novacraft. You may not reproduce, distribute, or create derivative works without written permission.

Client deliverables: On full payment, Novacraft assigns to the client ownership of all bespoke deliverables created for that engagement, excluding Novacraft's pre-existing tools, libraries, frameworks, and general know-how.

Academy materials: Course materials, recordings, and assessments are licensed to enrolled students for personal use only. Redistribution or resale is prohibited.

5. Payment terms

For client projects, payment terms are specified in the project agreement. Standard terms are 50% upfront, 50% on delivery unless otherwise agreed.

Invoices are due within 14 days of issue. Late payments accrue interest at 2% per month. Novacraft reserves the right to suspend work on overdue accounts.

6. Confidentiality

Both parties agree to keep confidential any non-public information shared during an engagement. This obligation survives termination of the engagement for a period of 3 years.

7. Limitation of liability

To the maximum extent permitted by law, Novacraft's total liability for any claim arising from services or use of this website shall not exceed the total fees paid by the client in the preceding 3 months.

Novacraft is not liable for indirect, consequential, or punitive damages, including loss of profits, data, or business opportunity, even if advised of the possibility of such damages.

8. Warranties and disclaimers

Novacraft provides services with reasonable care and skill. We do not warrant that software will be error-free or uninterrupted, or that any specific outcome will be achieved.

This website is provided "as is" without warranties of any kind. We do not guarantee uptime, accuracy, or completeness of content.

9. Governing law

These terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria, unless otherwise agreed in a project-specific contract.

10. Changes to these terms

We may revise these terms at any time. Changes take effect immediately upon posting. Continued use of our services after a revision constitutes acceptance of the updated terms. Material changes will be communicated with a revised date at the top of this page.
